These Terms & Conditions (“Terms”) form a legally binding agreement between you (“Client”, “you”, or “your”) and Cyber Elite Digital Solutions Pvt Ltd (“Cyber Elite”, “we”, “us”, or “our”), operating https://cyberelite.in. By accessing our website or engaging any of our services, you agree to these Terms in full.
1. Services
We provide the following services (as agreed in the proposal/Statement of Work):
- Web Development (WordPress, Shopify, WooCommerce, Custom)
- Mobile App Development (Native iOS/Android, React Native, Flutter)
- SEO (Technical, On-Page, Off-Page, Local, Google Business Profile)
- Performance Marketing (Google Ads, Meta Ads, LinkedIn Ads, Retargeting)
- Marketing Automation (Salesforce Marketing Cloud, Klaviyo, HubSpot, Iterable, Omnisend, Marketo)
- UI/UX Design, CRO, Branding, Visual Identity & Stationery Design
- White-label services for agencies
All services are delivered strictly as per the signed proposal or Statement of Work. Any additional work outside the agreed scope will be quoted separately and requires written approval.
2. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely content, assets, access (Google Analytics, ad accounts, hosting, etc.), and feedback.
- Respond to all communications within 48 hours.
- Obtain all necessary rights, licenses, and permissions for materials supplied to us.
- Ensure compliance with all applicable laws (advertising, data protection, intellectual property).
Delays caused by the Client will automatically extend project timelines and may incur additional charges.
3. Payment Terms
- 50% advance payment is mandatory to commence any project.
- Remaining 50% is due upon milestone completion or final delivery.
- All payments are non-refundable and non-cancellable.
- Late payments attract 18% p.a. interest and may result in suspension of services.
- We reserve the right to withhold deliverables until full payment is received.
4. Revisions & Project Scope
- Unless otherwise specified, the Client is entitled to maximum 2 rounds of revisions per deliverable.
- Additional revisions or scope changes will be charged at our standard hourly rate.
- All feedback must be provided in a single consolidated manner.
5. Intellectual Property
- Upon full and final payment, ownership of final deliverables transfers to the Client.
- We retain the right to showcase the project in our portfolio, website, and marketing materials (unless a separate NDA is signed).
- All pre-existing tools, frameworks, code libraries, and methodologies remain our exclusive property.
6. Performance & Results Disclaimer
We do not guarantee specific SEO rankings, ad performance, traffic volumes, or revenue results. All marketing outcomes depend on multiple external factors including algorithm changes, competition, and market conditions. Services are provided on a “best-effort” basis.
7. Confidentiality & Non-Solicitation
Both parties agree to keep project-related information confidential. You agree not to directly solicit or hire any of our employees or contractors for a period of 24 months after project completion without our prior written consent. Violation will result in a penalty of 12 months of the employee’s annual salary.
8. Limitation of Liability
Our total liability under any contract shall not exceed the total fees actually paid by you for the specific service. We shall not be liable for any indirect, consequential, incidental, punitive, or exemplary damages, including loss of profits, revenue, or data.
9. Indemnification
You agree to indemnify, defend, and hold Cyber Elite harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your content or materials
- Your violation of third-party rights
- Your breach of these Terms
10. Termination
Either party may terminate the agreement with 30 days written notice. You remain liable for payment of all work completed up to the termination date.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh.
12. Changes to Terms
We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes your acceptance of the revised Terms.
